Service Description

Foundation Training ($1,500)

• Two live remote sessions (45 minutes each)
• Session 1: How large language models work and prompt fundamentals
• Session 2: Context document creation framework
• Materials library: templates, frameworks, and quick reference guides
• Async feedback on your first context document
• Four weeks of email support after final session

Premium Co-Creation ($4,000)

• Four collaborative working sessions (60-90 minutes each)
• Co-creation of custom context documents for your business
• "See one, do one, teach one" methodology
• Custom deliverables tailored to your industry and use cases
• Four weeks of email/communication support
• 30-day check-in call (30 minutes)

Sessions will be scheduled by mutual agreement after payment is received.

Payment Terms

Foundation Training: $1,500 USD due in full before the first session.

Premium Co-Creation: $4,000 USD due in full before the first session.

Payment by invoice. If payment is more than 15 days late, Vectis Works may pause or cancel the engagement.

All fees are non-refundable except as specified in the Cancellation Policy below.

Rescheduling and Cancellation

Rescheduling

Sessions can be rescheduled with at least 48 hours' notice by either party at no charge.

Cancellation Policy

Foundation Training:

• If you cancel before any sessions are delivered, we will refund the full fee.
• If you cancel after the first session, no refund is due (materials have been delivered and the first session completed).

Premium Co-Creation:

• If you cancel before any sessions are delivered, we will refund the full fee.
• If you cancel after the first session, we will refund 50% of the fee.
• If you cancel after the second session, no refund is due.

Either party can cancel for any reason with written notice by email.

Confidentiality

Both parties agree to keep each other's non-public business information confidential—including any internal processes, strategies, or data shared during the training.

This means:

• Use it only for the purposes of this engagement
• Don't share it with anyone who doesn't need to see it
• Protect it the way you'd protect your own sensitive information

Standard exceptions apply: Information that's already public, independently developed, previously known, or required to be disclosed by law.

These confidentiality obligations last for two years after this agreement ends.

Intellectual Property

Training Materials

Training materials (templates, frameworks, guides) are provided for your internal use. You may use and adapt them freely within your organization.

Vectis Works retains ownership of the underlying materials and may use them with other clients.

Your Work Product

Your work product (context documents, prompts, and other materials you create) belongs entirely to you.

General Knowledge

Vectis Works is free to use the general skills, techniques, and know-how from this engagement—just not your specific confidential information.

Disclaimer and Limitation of Liability

Service Disclaimer

The training is provided "as is" without warranties of any kind. While we strive to deliver high-quality education and materials, we cannot guarantee specific business outcomes or results from applying what you learn.

Liability Cap

If something goes wrong, Vectis Works' total liability is limited to the fees you actually paid ($1,500 for Foundation, $4,000 for Premium).

Neither party is liable for indirect, incidental, consequential, or punitive damages.

Independent Contractor Relationship

Vectis Works is not your employee, partner, or agent. This is an independent contractor relationship.

Governing Law and Disputes

This agreement is governed by Tennessee law. Any disputes will be resolved in Williamson County, Tennessee.

Entire Agreement

These terms constitute the entire agreement between you and Vectis Works regarding the training services. No side agreements or modifications are valid unless we both agree to them in writing.
